Terms of Service
Scope
These Terms of Service (the "Terms") govern your use of the websites at ygi.so and www.ygi.so, our text messaging program, and any information, content, or communications we provide (together, the "Services"). The Services are provided by YGI Solutions ("YGI," "we," "us," or "our"), 99 Wall Street, Suite 2135, New York, NY 10005.
By using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Consulting, assessment, advisory, and resale engagements are governed by a separately signed Master Consulting Agreement, Statement of Work, order form, or similar agreement (an "Engagement Agreement"). If these Terms conflict with an Engagement Agreement, the Engagement Agreement controls for that engagement.
Acceptable Use
YGI provides compliance and cybersecurity consulting, including CMMC, FedRAMP, CJIS, NIST SP 800-171, and NY DFS Part 500 readiness, and resells third-party technology products. Website content is general information only and is not legal, audit, or certification advice for your organization.
You agree not to:
- Use the Services for any unlawful purpose or in violation of export control or sanctions laws.
- Probe, scan, or test the security of the Services, or attempt to gain unauthorized access to any system or data, without our prior written authorization.
- Introduce malware, scrape the Services in bulk, or interfere with their operation.
- Submit Controlled Unclassified Information (CUI), Federal Contract Information (FCI), Criminal Justice Information (CJI), classified information, or other regulated data through website forms or text messages. Regulated data is exchanged only through channels approved in an Engagement Agreement.
- Impersonate any person or misrepresent your affiliation with any organization.
We may suspend or end your access to the Services at any time if we reasonably believe you have violated these Terms.
SMS Text Messaging Terms
Program name and description. YGI Solutions Client Messaging. YGI employees use business phone numbers to exchange one-to-one, conversational text messages with clients, prospective clients, and business partners about scheduling, project coordination, engagement status, and support follow-up. We do not send marketing, promotional, or bulk messages through this program.
How you opt in. You opt in by giving your mobile number to a YGI employee and agreeing to receive text messages, either verbally during a call or meeting, in writing by email, or by sending a text message to a YGI business number. We record your consent before sending any message. Consent to receive text messages is not a condition of any purchase.
Message frequency. Message frequency varies based on your conversation with your YGI contact.
Cost. Message and data rates may apply. Check with your mobile carrier for details about your plan.
How to opt out. Reply STOP to any message at any time to stop receiving text messages. You will receive one confirmation message, and no further messages will be sent unless you opt in again. You may also reply START to resubscribe.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.
Privacy. Your mobile number and text messaging consent are handled as described in the Privacy Policy below. We do not share or sell mobile information or SMS opt-in data to third parties or affiliates for marketing or promotional purposes.
Intellectual Property
Our content. The Services, including text, graphics, logos, framework badges, articles, templates, and software, are owned by YGI or its licensors and are protected by intellectual property laws. You may view and print website content for your internal, non-commercial use. You may not copy, modify, distribute, or create derivative works from it without our written permission. Framework names and third-party marks belong to their owners and are used for identification only.
Feedback. If you send us suggestions or feedback, we may use them without obligation to you.
Third-party products and links. YGI resells and refers products and services from third-party vendors, including through distributors. Those products are governed by the vendor's own terms, licenses, and privacy practices, and the vendor is responsible for their performance. Links to third-party sites are provided for convenience, and we are not responsible for their content.
Fees. Website use is free. Fees for consulting services or resold products are set out only in an Engagement Agreement, quote, or order form.
Disclaimers, Limitation of Liability, and Indemnification
No compliance guarantee. Authorization, certification, and assessment decisions are made by third parties, such as the FedRAMP PMO, sponsoring agencies, Certified Third-Party Assessment Organizations (C3PAOs), the Cyber AB, and regulators. YGI does not guarantee that you will obtain or keep any authorization, certification, assessment result, or contract award.
As-is. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, YGI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, YGI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. YGI'S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). Liability for paid engagements is governed by the applicable Engagement Agreement.
Indemnification. You agree to defend, indemnify, and hold harmless YGI and its officers, employees, and contractors from claims, losses, and expenses, including reasonable attorneys' fees, arising from your misuse of the Services or your violation of these Terms or applicable law.
Governing Law, Disputes, Changes, and Contact
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.
Arbitration. Any dispute arising from these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in New York, New York. Either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information. Claims must be brought individually, not as a plaintiff or class member in any class or representative proceeding.
Changes. We may update these Terms by posting a revised version with a new "Last updated" date. Continued use of the Services after the update means you accept the revised Terms. Material changes to the SMS program terms will be communicated before they apply to you.
General. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
